BYLAWS AMENDMENT VOTE
30 day notice for member/owners to consider a proposal from the Board of Directors. Posted: 3/25/26
In addition to electing board candidates, the upcoming election will include a vote on a proposed amendment to our bylaws regarding the number of directors. While the qualifications for directors will remain the same, we are proposing a change to Section 4.2.
Your participation in this election is vital to ensure we understand the membership's position on this bylaws matter. We will post further updates in-store and weekly as the election approaches.
Proposed Amendment to Article IV, Section 4.2:
- Current Bylaw: The Board shall consist of seven individuals.
- Proposed Change: The Board shall consist of no less than five and no more than nine individuals.
Rationale:
The current requirement of exactly seven directors has been difficult to maintain. This amendment provides the flexibility to continue essential business with as few as five directors. Conversely, allowing up to nine directors provides more opportunities for new perspectives to guide the co-op.
Voting Information:
Per our bylaws, we are providing this notice 30 days before the voting period begins on April 27, 2026. For the amendment to be considered, we need a minimum turnout of 5% of all owners or fifty owners, whichever is less.
